I det omfang en opretholdelse og videreudvikling af Stibo Holding A/S' erhvervsmæssige og forretningsmæssige aktiviteter nødvendiggør, at en virksomhed eller selskab afhændes eller afvikles, eller at ejerandelen i virksomheden eller selskabet reduceres, kan fondsbestyrelsen enstemmigt beslutte dette. Reduktion af ejerandelen skal være betinget af, at Stibo Holding A/S bevarer en væsentlig indflydelse i Stibo A/S med henblik på fortsat at sikre virksomhedernes høje tekniske standard og anseelse. De beløb, der resterer af indtægter efter afholdelse af alle udgifter til administration, revision mv. og efter afholdelse af udgifter, der følger af de i gavebrevet direktø Erik Kiær og fru Ingrid Kiær samt i nærværende fundats indeholdte bestemmelser, udgør fondens årlige overskud. Det årlige overskud anvendes efter fondsbestyrelsens nærmere og frie bestemmelse således: 1. Støtte til videnskabelig forskning 2. Støtte til løsning af sociale, kulturelle og andre samfundsgavnlige opgaver 3. Støtte til institutioner, foretagender eller personer, hvis virksomhed af fondens bestyrelse skønnes at have betydning til gavn for dansk erhvervslivs trivsel 4. Uddeling af hædersgaver til fremragende forskere eller kunstnere eller andre, som efter bestyrelsens skøn ved deres indsats har gjort sig fortjent til en sådan påskønnelse eller opmuntring eller hjælp til yderligere indsats 5.
