Purpose

Selskabets eneste formål er at investere sine aktiver direkte eller indirekte gennem Ejendomsselskaber (også i flere stadier) i aktiver i fast ejendom (Ejendomsaktiver) eller at udvikle sådanne Ejendomsaktiver, som Selskabet eller sådanne Ejendomsselskaber ejer, med det formål at give aktionærerne fordelene ved administration, forvaltning og afhændelse af sådanne Ejendomsaktiver. 2.2 Ud over Ejendomsaktiver kan selskabet ligeledes erhverve andele i Ejendomsselskaber. Selskabet er herudover bemyndiget til at yde lån til ethvert Ejendomsselskab, som Selskabet ejer en direkte eller indirekte andel i, der kan anvendes til finansiering af køb af Ejendomsaktiver foretaget af dette Ejendomsselskab eller et andet Ejendomsselskab i samme koncern. 2.3 I dette punkt 2 betyder "Ejendomsaktiver" følgende: (a) enhver fast ejendom og enhver dertil knyttet rettighed, herunder grunde og bygninger, der er registreret i Selskabets navn; (b) langfristede investeringer i fast ejendom, som fx ejendomsret til fast ejendom, lejeret eller øvrige langsigtede brugsrettigheder; og (c) enhver option på værdier i fast ejendom i stk. (a) og (b)'s forstand. 2.4 I dette punkt 2 betyder "Ejendomsselskab" et selskab (interessentskab eller kapitalselskab, herunder aktieselskaber og kommanditselskaber), hvis eneste formål (i henhold til selskabets vedtægter eller andre stiftelsesdokumenter) er at erhverve, udvikle, sælge (herunder privatisere) og/eller udleje Ejendomsaktiver (direkte eller indirekte gennem selskaber), forudsat at Ejendomsaktivet er direkte eller indirekte ejet af Selskabet, samt at yde lån til andre Ejendomsselskaber, hvori Selskabet (direkte eller indirekte via andre Ejendomsselskaber) ejer andele, som kan anvendes til finansiering af køb af Ejendomsaktiver. 2.5 Selskabet kan træffe enhver form for foranstaltning med henblik på at sikre sine rettigheder og gennemføre enhver form for transaktion, som er direkte eller indirekte forbundet med Selskabets formål, og som vil kunne fremme dets udvikling eller udvidelse. 2.6 Selskabet kan derudover indgå enhver form for garanti eller aftale om skadesløsholdelse eller kaution samt stille sikkerhed for opfyldelsen af forpligtelser påhvilende og/eller betaling af enhver pengesum fra enhver person (herunder enhver juridisk person, hvori selskabet ejer en direkte eller indirekte andel, eller enhver person (et "Holdingselskab"), som på nuværende tidspunkt er selskabsdeltager eller på anden vis ejer en direkte eller indirekte andel i Selskabet eller enhver juridisk person, hvori Holdingselskabet ejer en direkte eller indirekte andel, samt enhver person, som er forbundet med Selskabet i en virksomhed eller et venture), uanset om Selskabet modtager en modydelse eller fordel (og uanset om denne er direkte eller indirekte), og uanset om dette sker ved personlig byrde eller underpant, håndpant eller tilbageholdsret i Selskabets virksomhed, ejendom eller aktiver (nuværende og fremtidige) eller dele heraf eller på anden vis. I dette punkt 2.6 omfatter "garanti" enhver forpligtelse, uanset beskrivelsen heraf, til at betale, opfylde, stille midler til rådighed til betaling eller indfrielse, til enhver tid skadesløsholde og friholde for konsekvenserne af manglende betaling af, eller for på anden vis at være ansvarlig for, enhver gæld eller økonomisk forpligtelse, som enhver anden person måtte have. 2.7 Uanset ovenstående må Selskabet ikke indgå i nogen transaktion, som ville bevirke, at Selskabet deltager i en reguleret aktivitet eller en aktivitet, som kræver, at Selskabet har en licens.
