Chief executive officer (administrerende direktør)
The administrerende direktør (CEO, managing director) is the person ultimately responsible for a company's day-to-day management. In CVR the role is registered as part of the executive board, and in companies with a board of directors it is the board that appoints and dismisses the CEO.
The figures behind the term
Source: companydata.dk, CVR and annual reports, updated 17 October 2026
If a company has several directors, the CEO is the one who leads the executive board and carries overall responsibility for operations towards the board of directors. In a private limited company without a board, the director is often also the owner, and the title matters mostly externally.
Responsibility and signing authority
The CEO must ensure sound operations, bookkeeping and capital resources and must follow the board's guidelines. Under the company's signing rule the CEO can often bind the company alone, and the CEO can be held personally liable for losses caused by irresponsible management.
Registration in CVR
Directors are registered in CVR with name, role and start date, and changes must be reported within two weeks. A person's directorships across companies, including ceased and bankrupt ones, are therefore public and form part of any assessment of management history.
Frequently asked questions
What is the difference between a director and a chief executive?
Both are registered directors. The chief executive title marks who heads the executive board and is registered as a separate role in CVR.
Does every company have a chief executive?
No. The vast majority register ordinary directors only. The figures on this page show the difference.
Can the chief executive chair the board?
Not in a public limited company. The chair may not at the same time be a director of the company, so supervision of day-to-day management stays independent.
